These Terms of Service (“Terms”) govern your purchase and use of software products sold through aixwatch.com, operated by Strava Ltd (“Company”, “we”, “us”). By purchasing or using our products, you agree to these Terms.
1. Definitions
- “Software” — AIX_exporter, Loki Agent for AIX, or AIX Monitoring Bundle, as applicable
- “LPAR” — A Logical Partition on an IBM Power Systems server
- “License” — The perpetual, non-exclusive right to use the Software
- “Maintenance” — Annual support and update service
- “Customer” — The individual or entity purchasing the License
2. License Grant
2.1 Perpetual License
Upon payment, we grant you a perpetual, non-exclusive, non-transferable license to install and use the Software on the number of LPARs corresponding to the quantity purchased.
2.2 License Scope
- One license is required per LPAR on which the Software is installed
- WPARs (Workload Partitions) within a licensed LPAR do not require additional licenses
- Licenses are tied to the purchasing organization, not to specific hardware
- You may move the Software between LPARs within your organization
2.3 Restrictions
You may not:
- Reverse engineer, decompile, or disassemble the Software
- Redistribute, sublicense, rent, or lease the Software to third parties
- Remove or modify any proprietary notices or labels
- Use the Software on more LPARs than the quantity licensed
3. Compliance and Audit
3.1 Record Keeping
Customer shall maintain accurate records of all LPARs on which the Software is installed, including LPAR names, serial numbers, and installation dates. These records shall be retained for the duration of the License and for two (2) years following any termination.
3.2 Self-Reporting
Upon written request by Strava Ltd (no more than once per twelve-month period), Customer shall provide within thirty (30) days a written certification signed by an authorized representative, stating the total number of LPARs on which the Software is currently installed.
3.3 Audit Right
Strava Ltd reserves the right to audit the Customer’s use of the Software to verify compliance with these Terms. Audits shall be conducted with at least thirty (30) days’ written notice, during normal business hours, and in a manner that minimizes disruption to Customer’s operations. The audit may be performed by Strava Ltd or by an independent third-party auditor bound by confidentiality obligations.
3.4 Non-Compliance — Remediation
If an audit or self-report reveals that the Software is installed on more LPARs than the quantity licensed:
- (a) The Customer shall immediately purchase additional licenses for all unlicensed LPARs;
- (b) Such additional licenses shall be invoiced at 300% (three times) the then-current list price per LPAR;
- (c) Payment is due within thirty (30) days of the invoice date;
- (d) The penalty pricing applies retroactively from the date of first unauthorized deployment, or the date of the last valid license purchase, whichever is later.
3.5 Audit Costs
If the audit reveals an under-licensing of five percent (5%) or more of the total licensed quantity, the Customer shall bear all reasonable costs associated with the audit. Otherwise, Strava Ltd shall bear the audit costs.
3.6 Cooperation
Failure to cooperate with a reasonable audit request, to provide the self-report within the specified period, or to provide materially accurate information shall constitute a material breach of these Terms, entitling Strava Ltd to terminate the License in accordance with Section 10.
3.7 Indemnification
Customer shall indemnify, defend, and hold harmless Strava Ltd from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to Customer’s unauthorized use of the Software beyond the scope of the License granted herein.
4. Pricing and Payment
4.1 Prices
- All prices are listed in Euros (€) and are exclusive of VAT
- VAT will be applied where required by EU law based on the Customer’s location
- Prices are per LPAR with volume discounts for 11+ LPARs
- Prices are subject to change; the price at the time of purchase applies
4.2 Payment
Payment is due at the time of purchase. We accept major credit cards and bank transfers. The Software will be made available for download after payment confirmation.
4.3 Invoicing
A VAT-compliant invoice will be issued for each purchase and sent to the email address associated with your account.
5. Maintenance and Support
5.1 First Year Included
The first year of maintenance is included with every license purchase at no additional cost.
5.2 Maintenance Coverage
- All software updates, patches, and new features released during the maintenance period
- Compatibility updates for new AIX versions, Prometheus, Grafana, and Loki releases
- Email technical support with a 48-hour response time (business days)
- Installation and configuration assistance
5.3 Maintenance Renewal
- Annual renewal at 20% of the original license price
- Renewal is optional — the Software continues to function without active maintenance
- Without active maintenance, you will not receive updates or support
6. Trial Versions
- AIX_exporter Trial: Limited to CPU, memory, and partition collectors. No time limit. No purchase obligation.
- Loki Agent Trial: Full functionality for 30 days from installation.
- Trial versions may not be used in production environments.
- No support is provided for trial versions.
7. Delivery
The Software is delivered electronically as AIX BFF packages via download link. Download links are provided immediately after payment via your account page and order confirmation email.
8. Warranty and Liability
8.1 Limited Warranty
We warrant that the Software will perform substantially as described in the documentation for a period of 30 days from the date of purchase. Our sole obligation under this warranty is to repair, replace, or refund the Software at our discretion.
8.2 Disclaimer
EXCEPT AS EXPRESSLY STATED ABOVE, THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STRAVA LTD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE USE OF THE SOFTWARE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER FOR THE LICENSE.
9. Intellectual Property
The Software and all associated documentation, trademarks, and intellectual property are and remain the exclusive property of Strava Ltd. The License does not transfer any ownership rights.
10. Termination
- The License is perpetual and does not expire unless terminated
- We may terminate the License if you materially breach these Terms and fail to cure the breach within 30 days of written notice
- Upon termination, you must uninstall the Software from all LPARs and destroy all copies
- Termination does not entitle you to a refund except as provided in the Refund Policy
11. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to conflict of law provisions. Any disputes arising under these Terms shall be submitted to the exclusive jurisdiction of the courts of Nicosia, Cyprus.
12. EU Consumer Rights
If you are a consumer in the European Union, you have the right to withdraw from a digital content purchase within 14 days of purchase, provided the download has not been initiated. By downloading the Software, you acknowledge that you waive this right of withdrawal in accordance with Article 16(m) of Directive 2011/83/EU.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated to existing customers via email. Continued use of the Software after notification constitutes acceptance of the updated Terms.
